Terms of Service

Welcome to Treker. These Terms of Service ("Terms") govern your use of the Treker platform, API, and associated services (collectively, the "Service") provided by TREKER.AI LLC ("Treker", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that you have the authority to bind any organization you represent to these Terms.

2. Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Subscription Plans and Payment

3.1 Subscription Plans

The Service is offered on a subscription basis. We may offer various tiers of service with different features, limits, and pricing.

3.2 Payment Processing

You agree to pay all applicable fees associated with your selected subscription. We use third-party payment processors (e.g., Stripe) to bill you through a payment account linked to your Treker account.

3.3 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities related to your purchase.

3.4 Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel it prior to the renewal date.

3.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle.

4. Free Trials

We may offer free trial periods for new accounts. At the end of the trial period, you must enter valid payment information to continue using the Service. If you do not provide payment information, your account and data may be suspended or deleted.

5. Use of the Service

5.1 License Grant

Subject to these Terms, Treker grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes.

5.2 Restrictions

You may not sublicense, resell, or distribute the Service. You may not reverse engineer, decompile, or attempt to extract the source code or AI models underlying the Service.

5.3 Prohibited Conduct

You agree not to:

  • Upload any documents that contain malicious code, viruses, or illegal content.
  • Use the Service to process highly sensitive personal information not typically found in standard commercial real estate leases (e.g., medical records, full credit card numbers).
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations of the Acceptable Use Policy constitute a breach of these Terms.

7. User Content and Data

7.1 Ownership

You retain all rights and ownership to the documents, leases, and data you upload to the Service ("User Content").

7.2 License to Treker

You grant Treker a worldwide, royalty-free license to host, copy, process, and display your User Content solely to provide the Service to you and to improve our AI extraction capabilities.

7.3 Data Privacy

Our use of personal data contained within your User Content is governed by our Privacy Policy.

7.4 Security

While we implement robust security measures, you remain responsible for maintaining backups of your User Content.

8. AI-Powered Features — Important Disclaimer

The Service utilizes artificial intelligence to parse and extract data from documents. By using these features, you acknowledge and agree that:

  • AI outputs may not always be 100% accurate, complete, or reliable.
  • You are solely responsible for independently verifying all data, dates, and financial figures extracted by the Service before relying on them for business or legal decisions.
  • Treker is a software tool, not a law firm or financial advisor. No output from the Service constitutes legal, financial, or professional advice.

9. Third-Party Integrations

The Service may integrate with third-party platforms (e.g., ZoomInfo). Your use of these integrations is subject to the terms and privacy policies of those third parties. Treker is not responsible for the availability, accuracy, or reliability of third-party data.

10. Intellectual Property

Treker and its licensors exclusively own all rights, title, and interest in and to the Service, including all associated intellectual property rights, AI models, algorithms, and software. "TREKER" and associated logos are trademarks of TREKER.AI LLC.

11. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own, but no less than a reasonable degree of care. User Content is considered your confidential information.

12. Warranties and Disclaimers

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TREKER.AI LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TREKER.AI LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Treker and its officers, directors, and employees from any claims, damages, liabilities, and expenses arising out of your User Content or your violation of these Terms.

15. Term and Termination

15.1 Term

These Terms remain in effect until your subscription is terminated.

15.2 Termination

We may suspend or terminate your account immediately if you breach these Terms.

15.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases, and we may delete your User Content.

15.4 Survival

Sections regarding IP, Confidentiality, Disclaimers, Limitation of Liability, and Dispute Resolution survive termination.

16. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service at any time. We may also update these Terms. Material changes will be communicated via email or an in-app notification. Continued use after changes become effective constitutes acceptance.

17. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Florida. Any dispute arising under these Terms shall be resolved through binding arbitration in Florida, except for claims relating to intellectual property. YOU AND TREKER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING (CLASS ACTION WAIVER).

18. General Provisions

18.1 Assignment

You may not assign these Terms without our prior written consent.

18.2 Entire Agreement

These Terms constitute the entire agreement between you and Treker.

18.3 Severability

If any provision is found unenforceable, the remaining provisions will remain in full force.

18.4 Waiver

Failure to enforce any right does not constitute a waiver of that right.

18.5 Force Majeure

Treker is not liable for delays caused by circumstances beyond its reasonable control.
